Terms & Conditions.

1. About us

Mirrory ("the Studio", "we", "us", "our") is an independent Australian web design and development business based in Melbourne, Victoria. ABN: 55 276 225 052. These Terms govern every engagement between the Studio and a client ("you", "your") who commissions work.

2. Scope of services

We provide website design, development, and related digital services as set out in your written project proposal. Work not listed in that proposal is out of scope and may be quoted separately. Unless agreed in writing, we do not include copywriting, photography, video production, paid advertising management, or third-party licence fees.

3. Payment terms

A non-refundable deposit of 50% of the project total is required before work begins. Milestone payments may apply for projects over $5,000 AUD, as set out in your proposal. The balance is due before launch. Final website files, credentials, and handover materials are not delivered until full payment has cleared. Invoices are payable within 7 days. Late payment may pause work and attract interest at 1.5% per month on overdue amounts.

4. Revisions

Each project includes two (2) rounds of design revisions unless your proposal states otherwise. A revision round covers consolidated feedback on the current deliverable. Additional revisions, or changes after a stage is approved, are billed at AUD $120 per hour (ex GST), quoted before we proceed.

5. Client responsibilities

You agree to supply all content (copy, images, logos, brand assets) and feedback by the dates agreed at kickoff. You are responsible for domain, hosting, and third-party account access we need to complete the project. Delays caused by late content or feedback may extend timelines and may require a revised schedule or additional fees. Agreed deadlines do not automatically extend when the client is late without written agreement.

6. Intellectual property

Ownership of the final website code, design files, and project-specific assets transfers to you only after we receive full payment for that project. Until then, all work remains our property. We retain the right to display completed work in our portfolio, case studies, and marketing unless you request otherwise in writing before launch and we agree.

7. Confidentiality

Both parties agree to keep non-public business information shared during the project confidential. This obligation continues after the project ends.

8. Hosting and maintenance

Hosting, domains, and ongoing maintenance are optional services under a separate care plan or agreement. Unless agreed in writing, we are not responsible for the site after handover.

9. Cancellation and refunds

Either party may end a project in writing. The deposit is non-refundable once work has started. If you cancel mid-project, you pay for all work completed to that date. If we end the engagement because of non-payment or material breach, the same applies.

10. Force majeure

Neither party is liable for delay or failure to perform caused by events outside reasonable control (including natural disaster, outage, illness, or government action). We will notify you and work in good faith to reschedule affected work.

11. Limitation of liability

We deliver work with professional care. To the fullest extent permitted by law, our total liability for any claim relating to a project is limited to the total fees you paid us for that project. We are not liable for indirect or consequential loss, including lost profit or revenue.

12. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee or right you have under the Australian Consumer Law that cannot lawfully be excluded.

13. Dispute resolution

If a dispute arises, both parties agree to attempt good-faith resolution by discussion first. If it is not resolved within 30 days, either party may pursue legal remedies.

14. Governing law

These Terms are governed by the laws of Victoria, Australia. The courts of Victoria have exclusive jurisdiction.
