Standard engagement terms

These terms apply only when an accepted Mirrory proposal expressly incorporates this version. They are not a contract merely because someone visits the website or sends an enquiry.
Mirrory is a sole-trader studio based in Melbourne, Victoria (ABN 55 276 225 052). In these terms, “Mirrory”, “we”, “us”, and “our” mean that sole-trader business. “Client”, “you”, and “your” mean the client identified in an accepted proposal.
These are standard service terms for commissioned work. Visiting this website, sending an enquiry, or taking part in an initial discovery discussion does not by itself create a project engagement or require you to proceed.
An engagement begins only when the client explicitly accepts a written Mirrory proposal that identifies the project, price, acceptance mechanism, and the version of these Client Service Terms incorporated into it. The person accepting confirms they are authorised to bind the client.
The accepted proposal and these terms form the agreement. Mirrory records the proposal version, terms version, and acceptance date. Unless both parties agree to a variation or applicable law requires otherwise, an existing engagement remains governed by the terms version accepted for that engagement; later website edits do not apply retrospectively.
If documents conflict on a project-specific matter, the following order applies:
A proposal can expressly override a general term for that engagement.
The accepted proposal defines the objectives, deliverables, exclusions, assumptions, dependencies, timeline, review stages, revision allowance, investment, payment schedule, third-party costs, and any care, hosting, accessibility, or SEO commitments.
A service, page, feature, integration, migration task, content item, or other deliverable not included in the proposal is outside scope. Indicative descriptions on the Web design & services page are starting points only and do not add deliverables to a project.
A change outside the accepted scope is a variation. Mirrory will describe the change and any effect on price, milestones, launch date, assumptions, or dependencies before doing chargeable additional work. A variation must be approved in writing.
Small approved items may be charged at $150 AUD per hour. Material additions will ordinarily receive a fixed-price change request. Mirrory does not apply retroactive scope fees to work the client did not first approve.
A proposal may use approval gates for direction and structure, visual design, development, and pre-launch review. Approval means Mirrory can reasonably proceed in reliance on that decision.
If the client later changes a preference or reopens approved work, the resulting work may be a variation. Mirrory will not use an unreasonably short silence period as automatic approval; approvals should be clear and recorded in writing.
Unless the proposal says otherwise, a project includes two consolidated revision rounds. A revision round is one coordinated set of feedback relating to the current project stage or deliverable.
Correcting Mirrory’s failure to meet the agreed scope is not a paid revision. New preferences after approval, changes to previously approved stages, fragmented extra rounds, or requests outside scope may affect cost and timing. Substantial scope changes will ordinarily be quoted rather than automatically billed by the hour.
The client will provide, as reasonably required:
The client remains responsible for the accuracy and legality of its business claims, regulated-industry content, privacy notices, and other client-controlled content unless a separate professional review is expressly included.
Client delays may move delivery dates, disrupt the reserved production slot, and require Mirrory to reschedule remaining work according to studio availability.
If the client is unresponsive for 30 days and Mirrory cannot reasonably progress, Mirrory may give written notice that the project is formally paused, explain what is required to resume, and provide an updated schedule when the required material or decision arrives. Resumption is subject to availability. No inactivity fee applies unless a proposal expressly includes one that is lawful and reasonable.
Unless the accepted proposal states otherwise:
The initial payment reserves studio capacity and forms part of the overall project price. Invoices are due within seven calendar days unless the proposal states otherwise. Mirrory is not registered for GST as at the effective date, so current prices are stated simply in AUD. Tax treatment may change for future proposals if Mirrory’s registration status changes.
If an invoice becomes overdue, Mirrory will notify the client and allow a reasonable opportunity to correct it. Mirrory may then pause affected work. The schedule may move if the reserved production slot is disrupted, and work will resume subject to studio availability once overdue invoices are resolved. No default late-interest charge applies.
Either party may request cancellation in writing. If the client cancels, Mirrory may invoice or retain only reasonable amounts for work already completed, approved or committed third-party expenses, and other reasonable loss directly arising from the cancellation where legally recoverable. Any prepaid amount exceeding the amount properly payable will be returned.
If Mirrory cancels without client breach, the client pays for completed work that can reasonably be used, Mirrory returns any unearned prepaid amount, and Mirrory reasonably hands back client-provided property and materials. This clause does not limit rights that cannot lawfully be excluded.
A defect is a reproducible failure of Mirrory’s implementation to perform in accordance with the agreed project scope. A revision or new work is a request for functionality, content, layout, or behaviour different from that scope.
For 30 days after launch, Mirrory will correct reproducible implementation defects within the agreed scope without an additional professional fee. This period does not cover issues caused by client edits, third-party platforms, unsupported third-party modifications, credential or security compromise outside Mirrory’s control, browser or platform changes after launch, or new functionality requests.
The 30-day period is an additional practical support commitment and does not replace or limit any remedy or guarantee that applies under Australian law.
After Mirrory receives full payment, ownership of the agreed bespoke, project-specific deliverables identified in the proposal transfers to the client to the extent Mirrory owns them and the proposal provides for transfer. This is the simple commercial principle: the client owns the bespoke website Mirrory created for them after full payment, while reusable and third-party technology retains its existing ownership and licensing.
Client-provided materials remain the property of the client or its licensors. Mirrory retains ownership of pre-existing code, reusable utilities, generic components, processes, internal tools, systems, methodologies, know-how, and non-project-specific assets. Where Mirrory background material is embedded, the client receives the ongoing licence reasonably required to operate the delivered website.
Open-source software, frameworks, packages, SaaS platforms, paid fonts, stock assets, plugins, and other third-party materials remain subject to their original ownership and licence terms. Payment to Mirrory does not transfer ownership of those materials.
The client confirms it has authority and permission to provide and use all supplied logos, trademarks, copy, photographs, videos, fonts, testimonials, customer information, instructions, and other materials. The client authorises Mirrory to use them to perform the engagement.
To the extent permitted by law, the client is responsible for a third-party claim caused by a breach of that confirmation or by an unlawful client instruction, but only to the extent the client caused the claim. This responsibility is reduced to the extent Mirrory’s own act or omission caused or contributed to the loss.
Unless confidentiality obligations prevent it, the proposal says otherwise, or Mirrory agrees otherwise in writing, Mirrory may display completed public work in its portfolio, case studies, social media, presentations, and studio marketing.
Mirrory will not publish confidential information, client analytics without permission, fabricated results, private administration interfaces, or customer data. Both parties will protect non-public confidential information and use it only for the engagement. This obligation continues after the engagement ends.
A project may depend on hosting, domain registrars, CMS providers, Shopify, Stripe, email platforms, analytics, APIs, font licences, stock assets, plugins, search engines, or social platforms. Where practical, accounts should be owned by the client with Mirrory given appropriate access.
A third-party provider may change its pricing, API, functionality, availability, policy, or terms. Mirrory is not responsible for changes outside its reasonable control, but this does not excuse Mirrory’s negligent configuration of an integration included in the agreed scope.
Unless expressly included, domains, hosting, subscriptions, paid fonts, stock assets, paid plugins, payment processing, APIs, specialist photography or copywriting, and advertising spend are separate costs. Mirrory will disclose expected material costs before commitment where reasonably possible.
At launch, Mirrory tests current mainstream browsers and representative modern viewport and device sizes appropriate to the project. The engagement does not promise permanent compatibility with obsolete browsers, future browsers or operating systems, or every possible device. Later compatibility work can be scoped separately or through care.
Mirrory uses modern accessibility practices. Any specific accessibility standard or target must be included in the proposal and will be implemented and tested to that agreed scope. No claim of universal or permanent legal compliance is made.
Website builds include only the technical SEO foundations stated in the proposal. These may include semantic structure, crawlability, metadata, sitemap, canonicals, redirects, performance, mobile usability, structured data, Search Console, and local or service information architecture where appropriate.
Search engines, map products, and AI search platforms are third-party systems that change. Mirrory does not guarantee a particular Google position, number-one ranking, traffic, leads, revenue, indexing date, Google Business Profile placement, or inclusion in AI-generated search answers. Mirrory will perform the SEO work in the accepted scope with professional care.
Unless a proposal says otherwise, ongoing SEO runs month to month and either party may end it with 30 days’ written notice. Work already completed and properly due remains payable.
A care proposal or schedule states the included platform, hosting or deployment administration, health and security work, monitoring, content allowance, response expectation, billing frequency, third-party charges, exclusions, and what will be treated as a separate project. Backups are included only where the agreed platform supports them and the written care scope confirms the arrangement.
Care is billed monthly unless agreed otherwise. Unused monthly content allowance expires at the end of the billing period and does not roll over. Either party may end care with 30 days’ written notice. Ending care does not transfer away or revoke the client’s ownership of the delivered website.
An engagement may end by mutual written agreement, under an express proposal right, or for a material breach that is not remedied within a reasonable period after written notice. Persistent non-payment may be treated as material breach. An immediate end may be appropriate where a breach cannot reasonably be remedied or continuing would be unlawful.
On termination, the client pays properly due fees and reasonable amounts for completed work, and Mirrory returns any prepaid amount not properly payable. Client materials will be returned or transferred reasonably. Intellectual-property rights remain subject to the payment and licensing provisions, and confidentiality survives. No punitive exit fee applies unless a proposal contains a lawful, reasonable, and specifically agreed amount.
Nothing in the agreement excludes, restricts, or modifies any consumer guarantee, remedy, or other right under the Australian Consumer Law or other applicable law that cannot lawfully be excluded, restricted, or modified. Where the law permits a remedy to be limited, any limitation applies only to the extent lawful and reasonable in the circumstances.
Each party remains responsible for direct loss it causes through breach, negligence, or other wrongful conduct. Subject to rights and liabilities that cannot lawfully be limited, neither party is responsible to the other for indirect or consequential loss that was not reasonably foreseeable when the engagement was accepted.
To the extent permitted by law, Mirrory’s aggregate liability arising from an engagement is limited to the fees paid or payable for the affected services. That limit does not apply to fraud, wilful misconduct, or a liability that cannot lawfully or fairly be limited. The parties must take reasonable steps to mitigate loss. This clause is intended to allocate risk proportionately, not remove non-excludable rights.
A party raising a dispute should give written notice describing the issue and the outcome sought. The parties will first meet or discuss the matter in good faith and try to resolve it directly.
If direct discussion does not resolve the dispute, the parties may agree to mediation or, where relevant, seek assistance from the Victorian Small Business Commission. Nothing in this process prevents either party seeking urgent relief or using a court, tribunal, regulator, or statutory remedy that remains available.
A party is not responsible for delay caused by an event genuinely outside its reasonable control to the extent that event prevents performance. The affected party must communicate reasonably promptly, take reasonable steps to minimise disruption, and resume performance when practical. This clause does not excuse payment already due or a failure that the party could reasonably have prevented.
The agreement is governed by the laws of Victoria, Australia, and the parties submit to courts and tribunals with jurisdiction there. This does not override any right or jurisdiction that Commonwealth law or another Australian jurisdiction makes mandatory.
If part of the agreement is unlawful or unenforceable, it is read down or severed only to the minimum extent necessary and the remainder continues. A failure to enforce a right immediately is not a waiver. Changes to an accepted engagement must be agreed in writing.
